General Conditions of Use
Commercial Real Estate Marketplace

These General Conditions of Use (the "General Conditions") apply to all content of the Consorto website (the "Site"), to the Consorto marketplace services (the "Service"), and to all electronic correspondence you exchange with us.

Please read these General Conditions carefully before using the Site. By accessing or using the Site, you confirm that you accept these General Conditions in full and without modification, whether or not you register as a user. If you do not accept them, please stop using the Site.

Once the online registration procedure is completed and approved, your access is activated and you are contractually bound to Consorto for the commercial real estate marketplace service.

Consorto, also “Consorto.com”, is a commercial real estate listing and introduction platform serving users worldwide. The Site is owned and operated by Consorto Global OÜ, a private limited company (osaühing) established under the laws of the Republic of Estonia, with registry code 14096759 in the Estonian Commercial Register, VAT (KMKR) number EE101996660, and registered office at Rotermanni tn 2-3b, 10111 Tallinn, Estonia. To access all functions of the Site, you must register and complete your profile. The Board of Admission will then review your profile and decide whether to approve it. If your profile is approved, you will be notified by email and will then have full access to the Site.

The Site is intended for professional and business users. Access is reserved for users who can clearly demonstrate their involvement in commercial real estate activities or services, and for commercial real estate owners and their representatives. By accessing the Site, you agree to be treated as a user of Consorto and agree that these General Conditions govern your use of the Site and the Service.

Because the Service is directed at professionals acting in the course of their trade, business or profession, certain consumer-protection rules may not apply to your use of it.

The Board of Admission has full discretion as to whom it accepts as a user and is not obliged to give reasons for declining an application. We may amend these General Conditions in accordance with the “Modifications” clause below, and it is your responsibility to review them periodically.

These General Conditions are written in English. The fact that a user does not receive them in their own language does not prevent them from applying. The parties agree that electronic records, including email and IT back-ups, constitute admissible evidence in their dealings.

1. ADMISSIBILITY

You must be at least 18 years of age to become a user of Consorto and to use the Site. By using the Site, you declare that you have the right, authority and capacity to accept these General Conditions and to comply with all of their terms.

Registration is subject to review by the Board of Admission and to validation of identity, assessed against our registration rules. Admission is confirmed once you receive a positive response from the Board of Admission.

After you submit your profile through the registration form, a review period begins, during which the Board of Admission may ask you questions to get to know you better. You will be informed of the decision by email. Once admitted, you undertake to comply with these General Conditions of Use.

2. REGISTRATION AND FEES

Once your registration has been approved by the Board of Admission and your identity validated, you may access the free features and services available within Consorto.

However, for a direct introduction to a buyer or seller, a Consorto success fee or introduction fee applies. This fee is charged only upon the successful completion of a real estate sale or rental transaction that results from an introduction made by Consorto.

Applicable fees, rates and the basis of calculation are those set out on the Site or otherwise notified to you before the relevant transaction.

The fee terms for each listing are set out in a separate fee agreement which you accept and sign electronically before or at the time of listing. Electronic acceptance and signature are valid and binding. Each fee agreement supplements these General Conditions and governs the relevant listing and any resulting transaction. In case of conflict, the signed fee agreement prevails for that listing or transaction.

We may change fees from time to time after giving you reasonable prior notice. Any change applies only to introductions or transactions arising after the change takes effect. If you do not accept a change to the fees, you may terminate your account before the change takes effect by writing to us or by email to info@consorto.com.

Extent of the Service

Consorto enables you to add, view or submit commercial real estate listings and wanted requests — currently focused on Europe and on other markets supported by Consorto from time to time — and to invite new users to join the Site.

Consorto acts solely as an intermediary between users. It is not a party to any transaction concluded between users and does not act as agent, broker, adviser, valuer or fiduciary for either side beyond facilitating an introduction.

Consorto does not guarantee your compatibility with, or the conduct, solvency, identity or intentions of, any user you meet through the Service.

When registering, you warrant that the information you supply is accurate, that you have legal capacity to contract, that you are aged 18 or over, and that you are authorised to meet the costs of using Consorto services.

As a simple intermediary, Consorto is bound only by an obligation of means, meaning best efforts, and not an obligation of result.

Subject to the “Limitation of Liability” clause and to mandatory law, Consorto is not liable for its recommendations regarding the choice of a user, nor for the non-performance of its obligations caused by force majeure, including major disruption or strike affecting postal, transport or communication services, flood, fire, or systems failure.

3. TERM AND TERMINATION

These General Conditions apply for as long as you are a user of Consorto. You may cancel your registration at any time, without giving a reason, by sending written notice by email to info@consorto.com.

Where we suspend or terminate your access for breach, we will send a termination notice to the email address you supplied on registration, or to any other email address you have given us, except where we are prevented from doing so by law or where notice would prejudice the investigation or prevention of a criminal offence or fraud.

Consequences of breach, misuse and circumvention

If you breach these General Conditions or misuse the Site or the Service, Consorto may take measures that are reasonable and proportionate to the breach. These may include freezing or suspending your account, removing prohibited or inaccurate content, restricting your access to all or part of the Service, terminating your account, and pursuing any remedies available under applicable law.

You must not misuse the Site or the Service, including by attempting to circumvent Consorto after an introduction has been made, by contacting another user directly or indirectly in order to avoid paying an agreed Consorto fee, by misusing confidential or transaction information obtained through the Service, or by using the Service for unlawful, fraudulent or misleading purposes.

If your breach causes Consorto loss, you are liable to compensate Consorto for unpaid fees, direct losses, reasonable enforcement costs, legal costs and other damages actually incurred as a result of the breach, to the extent permitted by applicable law.

Where a separate fee agreement or other transaction-specific agreement signed by you applies to a listing or transaction, the remedies and any agreed compensation set out in that signed agreement apply to that listing or transaction. In case of conflict between these General Conditions and such signed agreement, the signed agreement prevails for that listing or transaction.

4. CONTENT ON THE SITE AND PROHIBITED CONTENT

Information you supply to, or display on, Consorto must be accurate, complete and not misleading.

Except for personal data, which is processed in accordance with applicable data-protection law, and except for information you submit through private, restricted-access, confidential or transaction-specific areas of the Service, material you transmit or display on the public areas of Consorto.com is treated as non-confidential. We are under no confidentiality obligation in respect of such non-confidential material and may use it as described below.

Consorto may review and remove any content, message, photograph or profile published on Consorto that it reasonably considers to breach these General Conditions, or that is liable to be harmful, unlawful, or that infringes the rights of users or third parties, prejudices users, or threatens their safety.

You are solely responsible for the content you publish, present or supply on Consorto.com, or that you transmit to other users through it. You declare that your content is at all times accurate, compliant with these General Conditions, and not harmful to any person.

Licence

By displaying content in a public area of Consorto, you grant Consorto a free, non-exclusive, worldwide licence — for the duration of the relevant intellectual property protection — to use, copy, display, distribute and adapt that content, and to create derivative works from it or incorporate it into other works, and to grant sub-licences for those purposes, in each case for the operation, promotion and improvement of the Service.

You warrant that you hold the rights necessary to grant this licence. The licence ends for future use when you remove the relevant content or terminate your account, except to the extent the content has already been shared with or relied upon by other users, or where retention is required by law. This licence does not extend to personal data, which is governed by the data-protection clause below.

You must not post, transmit or distribute content that:

- is insulting, defamatory, denigrating, or that threatens another person’s privacy, or that is hateful, racist, anti-Semitic, xenophobic, or otherwise unlawful or reprehensible, or that incites hatred or violence against any group or individual;
- uses a third party’s profile, identity or photographs without their permission;
- constitutes or encourages harassment;
- consists of junk mail, chain letters, unsolicited bulk messages or spam;
- you know to be false or misleading;
- promotes unlawful, abusive, threatening, obscene, defamatory or libellous activities;
- promotes or facilitates infringement of third-party copyright or other intellectual property rights;
- consists of restricted or password-protected pages, or concealed pages or images to which no legitimate link exists;
- depicts or facilitates child sexual abuse, violence against children, or the solicitation of personal information from children;
- incites or provides instructions for illegal activity, such as the unlawful manufacture or acquisition of weapons, breaches of privacy, or the creation or distribution of malware;
- solicits passwords or identifying information from others for commercial or unlawful purposes; or
- carries out commercial activities without our prior written consent, such as competitions, lotteries, bartering, advertising, pyramid or referral-selling schemes, or any form of fraud.

Your use of Consorto.com must comply with applicable law, regulation and codes of conduct. Although Consorto cannot control users’ conduct away from the Site, using information obtained through Consorto to harass, insult or harm another person is also a breach of these General Conditions.

5. PROHIBITED ACTIVITIES

Consorto reserves the right to investigate, and to suspend or terminate your access, if you use Consorto improperly or behave inappropriately or unlawfully.

The following non-exhaustive list describes activities for which you may not use Consorto:

- impersonating any other person or entity;
- tracking down, stalking or harassing any person for any reason;
- stating or implying that Consorto endorses your statements without our express prior written agreement;
- using any robot, crawler, scraper, indexing or data-extraction tool, or other automated or manual process, to extract, index, copy, reproduce or misappropriate the Site, the Service or its content, or its structure or presentation, in any way;
- displaying, distributing or reproducing protected works, trademarks or other material protected by intellectual property or other proprietary rights without the rights holder’s prior consent;
- transmitting any material containing viruses, malware or other code, files or programs designed to interfere with, damage or limit the functioning of Consorto or any software, hardware or telecommunications equipment;
- creating headings or manipulating identifiers to disguise the origin of information transmitted through Consorto; or
- transmitting or displaying material that constitutes or encourages criminal conduct, gives rise to civil liability, or otherwise breaches the laws of Estonia or of any other applicable jurisdiction or the rights of third parties.

6. ACCOUNT SECURITY

You must keep confidential the username and password you choose during registration, and you are responsible for all activity that occurs under them.

You agree to notify Consorto immediately of any unauthorised use of your credentials or any other breach of security, and to log out at the end of each session.

Subject to mandatory law, Consorto is not liable for loss or damage arising from your failure to comply with this clause. Take particular care when accessing your account from a public or shared device, so that others cannot view or record your password or other personal information.

7. CUSTOMER SERVICE

Consorto provides assistance and advice through its staff. You must not make insulting, obscene, hurtful, sexist, threatening or racist remarks when communicating with Consorto staff.

If we reasonably consider your behaviour towards our staff to be threatening or abusive, we may immediately remove your profile and/or terminate your registration.

8. INTELLECTUAL PROPERTY RIGHTS

You may not display, distribute or reproduce any material protected by copyright, trademark or other intellectual property right, or other proprietary information, in any way, without the prior written consent of the relevant rights holder.

9. REPORTING ILLEGAL OR INFRINGING CONTENT

Consorto operates a notice-and-action mechanism in line with applicable EU law on online platforms, including Regulation (EU) 2022/2065, the Digital Services Act.

If you believe that content on the Site infringes your intellectual property rights, or that any content is illegal, please notify us at info@consorto.com with the following information:

- your name, profession, postal address, telephone number, email address and, where relevant to an intellectual property claim, further identifying details;
- the date of the notice;
- a description of the content you consider infringing or illegal and its precise location on the Site, for example the URL;
- the reasons for your claim, including the legal basis and any supporting evidence;
- a statement that you believe in good faith that the use complained of is not authorised by the rights holder, their representative or the law; and
- a statement that the information in your notice is accurate.

We will assess valid notices and act on them without undue delay, and we will inform you of our decision and of any redress options available to you.

10. DISPUTES BETWEEN USERS

You are solely responsible for your dealings with other users of Consorto. Consorto may, but is not obliged to, monitor disputes between users.

Consorto is not a party to, and accepts no liability for, transactions or disputes between users.

11. DATA PROTECTION AND PRIVACY

Consorto processes personal data as a controller in accordance with Regulation (EU) 2016/679, the General Data Protection Regulation, and the Estonian Personal Data Protection Act.

The personal data you provide to us is processed for the purposes of operating the Service, verifying identity and admission, facilitating introductions, billing, security, and compliance with legal obligations, on the lawful bases of performance of a contract, our legitimate interests, your consent where applicable, and compliance with law.

Subject to the conditions in the GDPR, you have the right to access, rectify, erase, restrict and port your personal data, to object to certain processing, and to lodge a complaint with the Estonian Data Protection Inspectorate or your local supervisory authority.

Personal data is retained only for as long as necessary for these purposes or as required by law. You may obtain further information about how we process your personal data, or exercise your rights, by contacting us at info@consorto.com.

The licence and non-confidentiality provisions above do not apply to personal data, which is governed by this clause and applicable data-protection law.

12. ACCESS TO THE SERVICES

Consorto endeavours to keep the Site available 24 hours a day, but does not warrant that it will operate without interruption or be free from errors.

Access may be suspended temporarily, without notice, in the event of system failure, maintenance, repair, or for reasons outside our control.

Subject to mandatory law, Consorto is not liable for such interruptions.

13. DISCLAIMER OF WARRANTY

To the fullest extent permitted by applicable law, the Site and its elements are provided “as is” and “as available”, without warranty of any kind, whether express or implied, including as to satisfactory quality or fitness for a particular purpose.

We do not warrant that the Site, its servers, or emails sent by Consorto are free from viruses or other harmful components.

We make no commitment as to the accuracy or reliability of any advice, opinion, statement or other information displayed, downloaded or distributed through Consorto by us, our partners, any user, or any other person.

You rely on any such opinion, profile, advice, statement or information at your own risk, and we are not responsible for users’ conduct, whether online or offline.

Nothing in this clause excludes or limits any warranty or liability that cannot be excluded or limited under mandatory law.

14. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Consorto is not liable for any indirect, consequential or unforeseeable loss arising from your use of the Site or the Service, including loss of profit, business, goodwill or data.

Where Consorto is found liable, its aggregate liability is limited to the foreseeable loss directly arising from the relevant event.

Subject to the following paragraph, Consorto’s aggregate liability arising out of or in connection with the Site or the Service shall not exceed the greater of:

(a) the fees the relevant user paid to Consorto in the twelve months preceding the event giving rise to the liability; or

(b) EUR 5,000.

Nothing in these General Conditions excludes or limits Consorto’s liability where this cannot lawfully be excluded or limited, in particular for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for damage caused intentionally or by gross negligence.

15. MODIFICATIONS TO THE GENERAL CONDITIONS

We may modify these General Conditions and will inform you when the modifications are published online.

The amended terms take effect thirty days after they are published. If, having been informed of the modifications, you do not wish to accept them, you may terminate your account by notifying us. Termination takes effect when we receive your notice or, at the latest, when the modification comes into force, whichever is earlier.

If you continue to use the Site after the amended terms take effect, you are deemed to have accepted them.

16. INDEMNITY AND ACTIONS BY THIRD PARTIES

If a claim or legal action is brought against us arising out of your activities, your use of the Site or the Service, your breach of these General Conditions, or a complaint by a third party, you agree to indemnify us for the reasonable costs and damages we incur as a result, to cooperate in the defence of the claim, and — at our option — to allow us to assume conduct and control of the defence.

This clause does not require you to indemnify us for loss caused by our own intent or gross negligence.

17. SEVERABILITY

If any provision of these General Conditions is held to be void, invalid or unenforceable under the governing law — in particular any warranty disclaimer or limitation of liability — that provision will be deemed replaced by a valid provision that reflects the original intention as closely as the law permits, and the remaining provisions will continue in full force and effect.

18. ENTITLEMENT TO RIGHTS

Consorto holds all rights in the Site and the Service. All elements appearing on the Site are protected by copyright and other applicable intellectual property laws and treaties worldwide; all rights are reserved.

No element of Consorto may be reproduced, copied, published, modified, transmitted or downloaded in any way without Consorto’s written permission.

Except as expressly provided in the licence clause above, Consorto grants you no express or implied right in its trademarks or other intellectual property.

19. GOVERNING LAW, JURISDICTION AND DISPUTES

These General Conditions are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules and without prejudice to any mandatory consumer-protection rules of the country in which a user who qualifies as a consumer is resident.

The courts of Estonia, with the Harju County Court / Harju Maakohus in Tallinn as the court of first instance, have jurisdiction over any dispute arising out of or in connection with these General Conditions, subject to any mandatory rule that confers jurisdiction elsewhere.

Before commencing proceedings, the parties will seek to resolve any dispute amicably. Any claim relating to the Consorto Site should first be sent to Consorto at the address below.

Where a user qualifies as a consumer, information on competent out-of-court dispute-resolution bodies in the EU is available through the European Commission’s consumer-redress pages and the relevant national bodies. The European Online Dispute Resolution platform was discontinued on 20 July 2025 and is no longer available.

20. GENERAL

Use of the Site constitutes acceptance of these General Conditions, evidenced by registration with Consorto.

These General Conditions, together with any separate fee agreement you accept for a listing or transaction, constitute the entire agreement between you and Consorto regarding your use of the Site and the Service.

Consorto retains these General Conditions, which may be consulted at the address below. Our failure to enforce any provision is not a waiver of it.
